The Bylaws of our chapter are essential for ensuring that all aspects of administration and governance are handled in a consistent and transparent manner.

1. GENERAL & SPECIFIC PURPOSE

General Purpose

The LAC BRIDGE CHAPTER of the Entrepreneurs’ Organization, the first hereinafter referred to as “LAC BRIDGE CHAPTER” and the latter as “EO Global,” is directly affiliated with and serves as an operating Chapter of EO Global. All Chapters agree to abide by all policies and procedures set forth by EO Global.

Specific purposes

The specific purposes of LAC BRIDGE CHAPTER have always been and remain::

1- To operate exclusively for charitable, educational, and scientific purposes. More specifically, LAC BRIDGE CHAPTER is organized for the following purposes, including, without limitation:

a) To provide educational programs, opportunities, resources, and training to its members.

b) To share the mutual interests of improving the skills of the membership through access to educational programs and physical resources in support of their growing enterprises and participating with others that have similar drives, goals, and experiences.

c) To engage leading entrepreneurs to learn and grow.

2- The chapter is a legal entity affiliated with Entrepreneurs’ Organization, organized and operated as a membership association for the not-for-profit purpose of fostering and promoting the growth of entrepreneurship among business owners and any other legally permitted purposes and activities legitimately related to such not-for-profit purposes.

3- The bylaws must state the chapter is not authorized to conduct any activities contrary to the not-for-profit purpose of fostering and promoting the growth of entrepreneurship among business owners.

2 – EO GLOBAL ́S POLICIES AND PROCEDURES

It is mandatory for LAC BRIDGE CHAPTER and its Members to comply with and respect EO Global’s Policies and Procedures, developed by the Board of EO Global to assist local Chapters and Members in interpreting and applying the Code of Conduct, Bylaws, and guiding principles for the Organization. The Policies and Procedures are implemented as the standard by which Members and local Chapters should conduct themselves.

3- MEMBERSHIP

General guidelines

EO Global shall have one class of members (“Member(s)”). EO Global shall establish and modify the membership and qualification guidelines from time to time. Those guidelines, as well as the provisions dealing with membership rights, privileges, duties, discipline, and termination, are set forth in the Membership section of EO Globals’ Policies and Procedures.

LAC BRIDGE CHAPTER will work in accordance with EO Global’s criteria for Membership as set forth in EO Global’s Chapter Documents, which include its Policies and Procedures. EO Global shall set annual membership dues, including methods and procedures for payment, in accordance with the Dues and Fees section of EO Global’s Policies and Procedures. Chapters shall set their local dues for the membership. The Members are governed under both Global and Local By-Laws.

The chapter may accept members who don’t fit this ideal profile with approval by the Admissions Committee.

Acceptance process

LAC BRIDGE CHAPTER ́s process for accepting new members is the following:

1- LAC BRIDGE CHAPTER will form an Admissions Committee, from now on called “the committee” composed of the Membership Chair, Membership Co-chair, and current President, which will operate under EO values.

2- The Committee will receive applications via member referral and/or via EO Network, all of whom will be subject to proper Due Diligence to be executed by the Membership Chair and/or Co-chair.

3- The Committee will review the applications; the applicant should receive unanimous approval from the admissions committee to move forward with the process. If unanimous approval can’t be reached, then the case should be elevated to the board for review and voting. The new member should be admitted to the chapter by a board majority vote.

4- Once the Admissions Committee approves the application, the new members’ list should be circulated with the board via WhatsApp; if needed, the board members have 48 hours to present a veto; the Admissions Committee will not consider vetoes presented after 48 hours.

5- A veto will be considered only if the prospect does not adhere to the Core Values of the Organization or has a history of non-respecting other chapters, Global’s bylaws, or code of conduct; vetoes shall be communicated in writing to the Admissions Committee. The Admissions Committee shall discuss the validity of the arguments to veto a prospect with the vetoing member and make a decision.

Code of conduct

EO is an international organization of leading entrepreneurs that provides exclusive and proprietary peer-to-peer and event-driven learning and networking experiences through global Member relationships and connections for individuals who qualify for membership. The integrity of our organization and the respect by and among our members are paramount to our long-term success.

As such, confidentiality, courtesy, and accountability are the cornerstones of the conduct we expect from our Members, staff, and all who interact with our organization.

LAC BRIDGE CHAPTER, each EO Member, executive, staff, vendor, and sponsor pledges to adhere to the Standards of Conduct outlined in EO Global’s Policies and Procedures. These Standards of Conduct have been adopted to promote and maintain the highest values and best practices for EO Members worldwide, and adherence to these standards is expected from all EO Members:

 

  • Respect the confidentiality of all individuals and businesses at all times

  • Always follow EO’s policies and procedures

  • Exercise and enforce the non-solicitation policy

  • Create a safe and relaxing environment

  • Maintain exemplary standards of professional conduct in one’s business

  • Embrace high ethical standards during peer-to-peer engagement

  • Understand that abuse, discrimination, and harassment (including sexual harassment) will not be tolerated

  • Conduct personal and professional affairs within the law and EO Code of Conduct, even more so if the Member conducts business with the country’s government.

  • Communicate with staff and leadership in a timely and truthful fashion

  • Adhere to EO Core Values

  • Fulfill all obligations to EO as expected

Removal of members

Disciplinary Actions, Suspension, and Expulsion of a Member

EO Global may suspend or expel a Member of the Chapter, and it may do so in its sole discretion if the Member was involved, directly or indirectly, in the commission of:

    • A felony or other crime involving moral turpitude or the commission of any other act or omission involving dishonesty, disloyalty, fraud, or breach of fiduciary duty
    • Gross negligence in relation to any of the Bylaws or Policies and Procedures of EO Global or the Chapter
    • Willful or intentional misconduct in relation to any of the Bylaws or Policies and Procedures of EO Global or the Chapter
    • A material violation in relation to any of the Bylaws or Policies and Procedures of EO Global or the Chapter
    • Misuse of assets of EO Global or of any Chapter for personal profit.

The Chapter shall, where required by virtue of its charter or applicable local law, take appropriate steps to give effect to the decision of EO Global.

Chapter Sanctioning Authority

The Chapter is authorized to take disciplinary action against members up to and including suspension or termination of Chapter Membership for violations of EO’s Code of Conduct and Chapter bylaws and Chapter policies confirmed by an authorized violation review process, provided, however, that any violations remain under the exclusive jurisdiction of EO.

Termination of Chapter membership shall, in all instances, be subject to ratification by the Chapter’s board of directors, and submission by the Chapter to EO of all mandatory reporting documents with confirmation of receipt by EO. Notwithstanding the foregoing, the Chapter is strictly prohibited from engaging in arbitrary or capricious disciplinary actions against members, and suspension or termination of membership as a disciplinary action must be limited to actual Code of Conduct or other policy violations that have been factually demonstrated by supporting evidence.

Disciplinary action by the Chapter against a member determined by EO to constitute discrimination, harassment, retaliation, or a violation of other EO policies is a material breach of this Agreement and a violation of EO policies and is subject to immediate termination of the Chapter’s authorized chapter status.

LAC BRIDGE CHAPTER may ask a Member of the Chapter to withdraw voluntarily from the Chapter, at its sole discretion, if the Member is involved, directly or indirectly, in any activity or behavior that violates Trust and Respect amongst Chapter Members, with no legal consequences nor private and public retaliation to any of the Chapter Members, especially against the whistleblower.

The chapter and all of its members shall adhere to and comply with EO’s Policies and Procedures and any chapter policies and procedures, as may be amended from time to time:

  • The chapter shall comply with EO’s reporting requirements concerning the review and investigation of decisions made and disciplinary action taken on alleged member violations of EO’s Policies and Procedures and the chapter’s policies and procedures.
  • The chapter’s governance committee (comprised of no less than three chapter members) shall review, investigate, decide, and determine disciplinary action taken on complaints asserted against chapter members except for harassment, discrimination, retaliation, and inter-EO chapter complaints, which shall be referred to EO’s Global Governance Committee.
  • Disciplinary action by the chapter’s governance committee (affirmed by the chapter board and EO to the extent required by EO’s Policies and Procedures) is binding on chapter members and may include but is not limited to member suspension or expulsion from the chapter.

LAC BRIDGE CHAPTER will adhere to EO Global Whistleblower Policy, including:

1- All directors, officers, employees, and Member Volunteers are responsible for reporting ethics violations or suspected violations per this Whistleblower Policy.

2- No director, officer, employee, or Member Volunteer who, in good faith, reports an ethics violation shall suffer harassment, retaliation, or adverse consequences. A Member who retaliates against someone who has reported a violation in good faith is subject to sanctions up to and including termination of membership. This Whistleblower Policy is intended to encourage and enable Members to raise serious concerns within LAC BRIDGE CHAPTER prior to pursuing resolution outside the Chapter.

Non Discrimination policy

1- Anti-Discrimination Policy

EO strictly prohibits discrimination on the basis of race, color, national origin, ancestry, sex, sexual orientation, gender identity or expression, age, religion, disability, caste, genetic information, marital status, citizenship status, veteran status, or on any other characteristic protected by law. EO Members have, moreover, pledged to conduct themselves in a professional manner in accordance with the EO Code of Conduct.

2- Anti-harassment Policy:

Harassment is not tolerated within EO and is expressly forbidden by the Code of Conduct:

a) Any form of harassment that violates the law, including but not limited to harassment related to race, color, national origin, ancestry, sex, sexual orientation, gender identity or expression, age, religion, disability, caste, genetic information, marital status, citizenship status, veteran status, or any other protected characteristic is a violation of this policy. The term “harassment” includes slurs, offensive jokes, and other verbal, graphic, or physical conduct.

b) Harassment is defined as:

  • Offensive and unwelcome sexual invitations, whether or not the person submits to the invitation
  • Threats or insinuations which lead the victim to reasonably believe that granting or denying sexual favors will affect his or her reputation, potential to become a Member Leader or adversely affect his or her membership or employment in any way
  • Offensive and unwelcome conduct of a sexual nature, including sexually graphic comments or stories that are not legitimately related to the goals of EO
  • Repeatedly using sexually degrading words or sounds to describe a person
  • Offensive comments transmitted by e-mail or another messaging media
  • Unwelcome and unnecessary physical contact of a sexual nature, including touching, patting another person’s body, hugging, touching, or display of one’s own body, or any similar contact

Failing Forum

Non-Conforming Forum Groups

1- All members of an EO forum must be EO members in good standing to be in an EO Forum. It is considered a failure of our Trust and Respect principles when forums permit non-EO members or EO members not in good standing to participate within their forums. For this reason, forums permitting these practices shall be considered Failed Forums shall be removed from the record as an EO forum, and the EO members remaining in the Failed Forum will be listed as opting out of the forum. The Forum Chair will make the best efforts to help members stuck in Failed Forums become part of successful EO Forums in good standing to promote healthy member participation in the EO forum experience and to create a strong chapter that supports the entire membership.

2- Once a forum is labeled a Failed Forum, it shall no longer be entitled to any EO Global or Chapter-related forum resources, including, but not limited to, participation in or use of Forum Training, Moderator Training, Moderator Lunches, and other EO forum benefits provided by EO Global, Regions or Chapter.

3- EO bylaws, codes of conduct, policies, procedures, and rules apply to all members of EO, regardless of their Forum status. Inviting other members to a failed forum is a violation of this policy. Violation of this policy by a member is cause for expulsion from the Chapter.

Discipline

The procedures for discipline are contained in EO Global’s Policies and Procedures and pertain to violations by a Member that extend beyond the Chapter of that Member. LAC BRIDGE CHAPTER shall be charged with preparing and monitoring their own individual discipline policies. The EO Global Board shall have the rights and powers to interpret, apply, and enforce the Code of Conduct, Bylaws, Policies, and Procedures of EO and impose such discipline as the Board, in its discretion, considers necessary and appropriate to further the principles, vision, mission, and values of EO.

Dues and fees

LAC BRIDGE CHAPTER dues, initiation fees, and other similar charges, as well as dues for the next fiscal year, should be reviewed and approved by the board by a simple majority vote. The current and incoming presidents have veto power over these dues and fees.

Confidentiality Policy

The EO Confidential Information, as defined in EO Global’s Policies and Procedures, is confidential information. Misuse of the EO Confidential Information is a violation of EO policy. Any unauthorized use, transcription, or copy of is strictly prohibited. The EO Confidential Information contained in the EO network is for the use of current Members (with restrictions), consistent with the Code of Conduct, Bylaws, Policies and Procedures, and principles of EO.

EO strictly prohibits the distribution or dissemination of Information by any Member relating to any other Member or Members to any non-member. EO may pursue all remedies available under the Amended Bylaws, Policies, and Procedures or under law, including, without limitation, the expulsion or termination of any Member from EO and from the Member’s Chapter. EO is strongly committed to protecting against the distribution or dissemination of Member Information to third parties. Directors, officers, employees, and Members acting on EO’s behalf are responsible for protecting EO Confidential Information from unauthorized disclosure.

Solicitation Policy

EO Global’s Policies and Procedures Solicitation Policy encompasses five dimensions:

  1. Third Party Solicitation
  2. Social Media
  3. Strategic Alliance Partners or Sponsors
  4. Natural Disasters
  5. Marketplace

Generally, EO prohibits any Solicitation by a Member to another Member or a strategic alliance, partner, or sponsor of EO or a Chapter except as provided in EO Global’s Solicitation Policy. For purposes of this Solicitation Policy, the word “Solicitation” means any direct or indirect contact that was not requested by the recipient in regards to the sale or marketing of a product or service, a donation, an investment, or any other cause. Further, the conduct or actions of any non-Member are attributable to the Member that introduced the non-Member to EO or otherwise distributed information to EO to the non-Member, regardless of whether the distribution was intentional or inadvertent.

4 – CHAPTER BOARD

The Chapter’s Board shall manage the Chapter’s business and affairs with all the powers, authority, responsibilities, and obligations given to a board of directors.

Generally, the delineated roles and responsibilities of the Chapter’s Board shall include:

a)  Act as keeper of the Chapter’s vision and values

b)  Formulate the Chapter’s strategic direction

c)  Maintain operational oversight over the Chapter’s business and affairs

d)  Supervise the Chapter’s Board’s Committees, if any

e)  Approve the budgets and financial reports of the Chapter

f)  Assign tasks and projects to the Chapter’s Board’s Committees, if any

g)  Manage the Chapter’s alliances and partnerships

h)  Maintain oversight over the Chapter’s Admin Officer and his/her duties, responsibilities, and compensation

i) Supervise the annual Chapter audit and related activities

LAC BRIDGE CHAPTER shall have a board and clearly defined roles for each chair. At least four board members are required to attend the EO General Learning Conference; the Chapter President is required to attend the annual President’s meeting.President and Board tenures will last 1 (one) fiscal year.

The incoming president, as well as the incoming-incoming president, are chosen at the beginning of the preceding fiscal year by a committee that is formed by the current and the former Chapter Presidents, called the “Presidents Committee”. By the end of January, the incoming President must choose the next board and introduce the candidates to the current board by the beginning of February.The minimum number of board members for every year must be 11 on the following positions:

1. President
2. President-elect
3. Membership Chair
4. Finance Chair
5. Learning Chair
6. Forum Chair
7. Engagement Chair
8. Communications and Marketing Chair
9. Events Chair
10. Social Impact Chair
11. Governance

The board must hold a minimum of 6 board meetings during the fiscal year; attendance is mandatory. If for any reason, one of the chairs won’t be able to attend the meeting, he or she has to inform the president within one week before the meeting and send their monthly report. The learning, membership, forum, and Engagement chairs must attend all board meetings with no excuse.


The Chapter President and/or Board Chairs might be removed if anyone misses more than two consecutive board meetings. For the removal process, all the members of the board must vote; if there is a tie during the voting process, the President can make the final decision. All votes should be kept within recorded minutes by the Chapter Administration

Nominations

Chapter must have a clearly outlined nomination and removal process of the Chapter President and Board Chairs. All votes should be kept within recorded minutes by the Chapter Administration. The selection and appointment of the incoming Chapter Board for the coming fiscal year shall take place no later than 1 (one) week prior to the annual President’s Meeting of the preceding fiscal year.

Removal

At any time, the Chapter’s President may remove, with or without cause, one or more directors.

General liability

LAC BRIDGE CHAPTER may not act to bind EO Global or any other Chapter to any contract, debt, or commitment to lend money, except by separate, express written agreement.

Chapter Policies and Procedures

  • The budget for each event must include a 15% monetary reserve to ensure the chapter’s financial health. The event fee must be approved by the finance chair to ensure the profitability of the event.
  • All LAC BRIDGE members are expected to attend and participate in the three in-person events during the fiscal year. In the unlikely event that a member cannot attend, he/she will be required to pay $350 per event not attended as a compensation fee for the financial loss and loss of value experienced by the chapter and by the members who attend. This policy is intended to ensure fairness and solidarity among all members. This compensation will be paid through a payment link provided by the Chapter Manager.
  • Only LAC Bridge members, or members and chapters officially invited by the LAC Bridge board, will be allowed to participate in the three In-Person events. Non-members will not be able to participate as a membership trial.
  • LAC Bridge In-Person events are planned and designed for Members and SLPs. SLPs are defined as spouses, life partners, and children above 16 years of age.
  • Children under 16 are not allowed to participate in the official Agenda activities, including but not limited to learning events, workshops, tours, and meals.
